1. General Information

1.1 Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Copanyon Inc. ("Copanyon," "we," "us"). By accessing or using the Copanyon platform, including our website, mobile applications, and related services, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1.2 Copanyon Services

Copanyon provides an online marketplace that connects hosts (creators, coaches, consultants, influencers) with patrons (guests) for paid video sessions. We facilitate session creation, shareable booking links, payment processing, and video call infrastructure. Copanyon acts as an intermediary platform and is not a party to the arrangements between hosts and patrons.

1.3 Amendments

Copanyon reserves the right to modify these Terms at any time. Changes become effective upon posting to the platform. Continued use of the service after changes are posted constitutes acceptance of the updated Terms. We will endeavor to notify you of material changes via email or platform notification.

2. Obligations

2.1 Eligibility

You must be at least 18 years of age to use Copanyon. By creating an account, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. Copanyon may require proof of age at any time.

2.2 Verification

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Copanyon may verify your identity, credentials, or social media profiles. Providing false or misleading information may result in account suspension or termination.

2.3 Consumer Reports

You acknowledge that Copanyon may obtain consumer reports or background checks as permitted by applicable law to maintain platform safety and integrity. You consent to such checks as a condition of using the platform.

2.4 Privacy

Your use of Copanyon is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal data. By using the platform, you consent to our data practices as described in the Privacy Policy.

2.5 Payment via Stripe

All payments on Copanyon are processed through Stripe. By making or receiving payments, you agree to Stripe's terms of service. Hosts must complete Stripe Connect onboarding to receive payouts. Copanyon charges a 5% booking fee to patrons and a 10% commission on host payouts. Funds are held in escrow until sessions are completed.

2.6 Refund

Refunds are handled in accordance with our Refund & Payment Policy. If a host fails to attend a session, patrons receive an automatic full refund. Session cancellations and other refund scenarios are governed by the specific terms outlined in the Refund Policy.

3. Rights and Limits

3.1 Right to Use

Subject to your compliance with these Terms, Copanyon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purposes. This license does not include the right to modify, distribute, or create derivative works from any part of the platform.

3.2 Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Copanyon immediately of any unauthorized use. You may not share, transfer, or sell your account to another person.

3.3 Direct Interactions

Copanyon is not responsible for the interactions between hosts and patrons. All sessions, communications, and arrangements are between the users involved. You acknowledge that Copanyon does not screen, vet, or endorse any user and you interact with other users at your own risk.

3.4 Representations & Warranties

Hosts represent that they have the necessary qualifications, skills, and authority to provide the services they offer. Patrons represent that they will use the platform in good faith and treat hosts with respect. Both parties agree to comply with all applicable laws and the Code of Conduct.

3.5 Host Intro Video

Hosts may upload introductory videos to their profiles. These videos must accurately represent the host and the services offered. Copanyon reserves the right to remove any video that is misleading, inappropriate, or violates these Terms or the Code of Conduct.

3.6 Search Ranking

Copanyon determines the order in which profiles and sessions appear in search results and the Explore page. Ranking factors may include ratings, activity, responsiveness, profile completeness, and other criteria. Copanyon may adjust ranking algorithms at any time without notice.

3.7 Complaints

Users may report issues, disputes, or violations by contacting support@copanyon.com. Copanyon will investigate complaints in good faith and may take action including warnings, account suspension, or termination as it deems appropriate.

3.8 Limits — Code of Conduct

All users must abide by the User Code of Conduct. Prohibited activities include harassment, discrimination, fraud, impersonation, solicitation of off-platform transactions, sharing illegal content, and any behavior that compromises the safety or integrity of the platform.

4. Copanyon Content

All content provided by Copanyon, including text, graphics, logos, trademarks, images, software, and user interface design, is owned by or licensed to Copanyon and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from Copanyon content without our prior written consent.

5. User-Generated Content

You retain ownership of content you create and upload to Copanyon (profiles, session descriptions, messages, reviews, videos). By posting content, you grant Copanyon a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the platform. You are solely responsible for your content and must ensure it does not infringe any third-party rights or violate applicable laws.

6. Links to Third-Party Websites

The platform may contain links to third-party websites or services that are not owned or controlled by Copanyon. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. Accessing third-party links is at your own risk.

7. Advertisement

Copanyon may display advertisements or promotional content on the platform. Copanyon is not responsible for the accuracy or content of any advertisements. Your interactions with advertisers are solely between you and the advertiser, and Copanyon shall not be liable for any loss or damage resulting from such interactions.

8. No Implied Endorsements

Copanyon does not endorse any host, patron, or third party on the platform. The presence of a profile, session listing, or link does not constitute an endorsement, recommendation, or warranty of quality. Users should exercise their own judgment and due diligence when engaging with others on the platform.

9. Relations Between Copanyon and Users

Copanyon is an independent platform provider. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Copanyon and any user. Hosts are independent service providers, not employees or agents of Copanyon.

10. Assignment

You may not assign or transfer your rights or obligations under these Terms without Copanyon's prior written consent. Copanyon may assign its rights and obligations to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets.

11. Feedback

If you provide Copanyon with feedback, suggestions, or ideas regarding the platform, you grant Copanyon an unrestricted, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback for any purpose without any obligation to you, including compensation or attribution.

12. Reviews

After sessions, participants may leave reviews and ratings. Reviews must be honest, fair, and based on the actual session experience. Copanyon reserves the right to remove reviews that are abusive, fraudulent, or violate these Terms. Manipulation of the review system (e.g., fake reviews, review exchanges) is strictly prohibited.

13. Notifications

By using Copanyon, you consent to receiving notifications via email, platform messages, and other communication channels. These may include service updates, session reminders, payment confirmations, and marketing communications. You can manage your notification preferences in your account settings, though certain transactional notifications cannot be opted out of.

14. Termination

You may terminate your account at any time by contacting support. Copanyon may suspend or terminate your account at its discretion, including for violations of these Terms, the Code of Conduct, or applicable law. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will survive.

15. Intellectual Property Rights

The Copanyon platform, including all software, technology, branding, and proprietary content, is the exclusive property of Copanyon Inc. and is protected by copyright, trademark, patent, and other intellectual property laws. Unauthorized use of Copanyon's intellectual property is strictly prohibited and may result in legal action.

16. Copyright Infringement / DMCA

Copanyon respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the platform infringes your copyright, you may submit a DMCA takedown notice to support@copanyon.com with the required statutory information. Copanyon will respond to valid notices and may remove infringing content and take action against repeat infringers.

17. Confidentiality

You agree not to disclose any confidential information obtained through the platform, including session content, private messages, business strategies, or personal information of other users, except as required by law. This obligation survives termination of your account.

18. Disclaimer of Warranty

The Copanyon platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. Copanyon disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

19. Limitation of Liability

To the maximum extent permitted by law, Copanyon and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. Copanyon's total cumulative liability to you for all claims shall not exceed five hundred US dollars ($500). You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Copanyon.

20. Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by applicable law.

21. Lobbying Compliance

Users shall not use the Copanyon platform for any activities that would require registration or disclosure under lobbying or government ethics laws. You are responsible for ensuring that your use of the platform complies with all applicable lobbying regulations in your jurisdiction.

22. International

Copanyon is based in the United States but available globally. If you access the platform from outside the US, you are responsible for compliance with local laws. Copanyon makes no representation that the platform is appropriate or available for use in all locations.

23. Export Control

You agree to comply with all applicable export control laws and trade sanctions. You may not use the platform if you are located in, or a national of, any country subject to US trade sanctions or embargoes, including Cuba, North Korea, Iran, Sudan, the Crimea region, and Syria. You represent that you are not on any US government restricted party list.

24. Liquidated Damages

You agree that certain violations of these Terms may cause damages that are difficult to quantify. In such cases, Copanyon may seek liquidated damages as a reasonable estimate of losses, as specified in these Terms or supplementary policies.

25. Indemnification

You agree to indemnify, defend, and hold harmless Copanyon, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

26. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of Copanyon shall be resolved through binding individual arbitration in New York, administered under the rules of the American Arbitration Association (AAA). You agree to arbitrate disputes on an individual basis only and waive any right to participate in class actions, class arbitrations, or representative proceedings.

27. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought in the state or federal courts located in New York.

28. Non-Solicitation

You agree not to use the Copanyon platform to solicit users for transactions outside of the platform in order to circumvent Copanyon's fees or these Terms. This includes sharing external payment links, requesting off-platform payments, or directing users to competing services.

29. Force Majeure

Copanyon shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or other force majeure events.

30. Survival

Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property rights, limitation of liability, indemnification, dispute resolution, and confidentiality obligations.

31. Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.

32. Entire Agreement / Severability

These Terms, together with the Privacy Policy, Cookie Policy, Code of Conduct, and Refund Policy, constitute the entire agreement between you and Copanyon. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
